1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and PRX Tech LLC ("Company," "we," "us," or "our"), the operator of the Prescribe Rx healthcare software platform ("Platform"). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

If you do not agree to these Terms, you are expressly prohibited from using the Platform and must discontinue access immediately.

These Terms apply to all users of the Platform, including patients, healthcare clients, and sales organizations.

2. Description of the Platform

Prescribe Rx is a telehealth software-as-a-service ("SaaS") platform operated by PRX Tech LLC. The Platform provides digital healthcare services including, but not limited to:

  • Testosterone replacement therapy management
  • Medical weight loss programs
  • Erectile dysfunction treatment coordination
  • Hair loss treatment management
  • Integrated pharmacy ordering and EHR integration
  • Patient management tools and clinical decision support

The Platform is intended for use by patients, licensed healthcare providers and clinical staff, healthcare organizations and partner clinics, and authorized sales and distribution organizations.

Warning: The Platform does not replace emergency medical services. In the case of a medical emergency, call 911 or your local emergency number immediately.
3. HIPAA Compliance and Protected Health Information

PRX Tech LLC is a Covered Entity and/or Business Associate as defined under the Health Insurance Portability and Accountability Act of 1996, as amended ("HIPAA"), and the Health Information Technology for Economic and Clinical Health Act ("HITECH"). We are committed to protecting the privacy and security of all Protected Health Information ("PHI") in accordance with applicable federal and state law.

By using the Platform, you acknowledge and agree that:

  • Your PHI may be used and disclosed as described in our Privacy Policy and Notice of Privacy Practices
  • You have the right to access, amend, and restrict the use of your PHI as provided under HIPAA
  • We maintain administrative, physical, and technical safeguards to protect the confidentiality, integrity, and availability of electronic PHI (ePHI)
  • You will not use the Platform to transmit PHI in a manner that violates HIPAA or any applicable state privacy law
4. Text Message (SMS) Communications Program
4.1 SMS Opt-In and Consent

By providing your mobile phone number and opting into our text messaging program, you expressly consent to receive SMS and/or MMS messages from PRX Tech LLC in connection with the Prescribe Rx platform. These messages may include:

  • One-time passcodes (OTP) and multi-factor authentication security codes
  • Appointment reminders and scheduling notifications
  • Prescription status updates and pharmacy notifications
  • Clinical alerts and care coordination messages
  • Account security notifications and transactional updates
SMS Program Disclosure: By providing your phone number and opting into our text messaging program, you consent to receive a one-time transactional security code or application notification on your mobile device. Standard message and data rates may apply. For assistance, reply HELP to the number from which you received the message, or contact us at compliance@prescribe-rx.com or (678) 324-4763. To stop receiving messages, reply STOP at any time. Carriers are not liable for delayed or undelivered messages.
4.2 Message Frequency

Message frequency will vary based on your use of the Platform and the healthcare services you receive. You may receive multiple messages per day during active treatment periods. Transactional and security messages (such as OTP codes) are triggered by your own actions within the Platform.

4.3 Message and Data Rates

Standard message and data rates may apply to all SMS/MMS messages sent to or received from you. These charges are assessed by your mobile carrier and are separate from any fees charged by the Company. The Company is not responsible for any charges assessed by your mobile carrier.

4.4 How to Opt Out

You may opt out of receiving text messages at any time by replying STOP to any message you receive from us. After sending STOP, you will receive one final confirmation message and will no longer receive SMS messages from us, except as required to confirm your opt-out or as otherwise required by law.

Note: Opting out of SMS messages does not affect your ability to use the Platform or receive communications through other channels such as email.

4.5 How to Get Help

4.6 Carrier Disclaimer

Carriers, including but not limited to AT&T, Verizon, T-Mobile, and other wireless carriers, are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your carrier and is not guaranteed.

4.7 Consent is Not a Condition of Service

Your consent to receive SMS communications is not a condition of receiving healthcare services through the Platform. However, certain critical security functions such as OTP-based authentication may require SMS receipt in order to verify your identity.

5. Telehealth Services and Medical Disclaimer

The Platform facilitates telehealth services provided by licensed, independent healthcare professionals. The Company does not practice medicine, provide medical advice, diagnose conditions, or prescribe medications. All clinical decisions are made solely by licensed healthcare providers.

Telehealth services have limitations and may not be appropriate for all medical conditions. You acknowledge that:

  • Telehealth services are not a substitute for in-person medical care in all situations
  • You are responsible for providing accurate and complete health information to your provider
  • You understand the limitations of remote diagnosis and treatment
  • You remain responsible for maintaining your own health and safety
6. User Accounts and Registration
6.1 Account Creation

To access the Platform, you must create an account and provide accurate, current, and complete information as required during the registration process. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

6.2 Eligibility

You must be at least 18 years of age to create an account and use the Platform. By registering, you represent and warrant that you are at least 18 years old and legally capable of entering into binding agreements.

6.3 Account Security

You agree to: (a) immediately notify us of any unauthorized use of your account; (b) use strong, unique passwords; (c) not share your credentials with any third party; and (d) log out of your account after each session.

7. Acceptable Use Policy

You agree not to use the Platform to:

  • Violate any applicable federal, state, or local law or regulation, including HIPAA
  • Transmit any PHI of other individuals without authorization
  • Impersonate any person or entity, or falsely state your affiliation
  • Engage in any fraudulent, deceptive, or misleading conduct
  • Attempt to gain unauthorized access to any portion of the Platform
  • Reverse engineer, decompile, or disassemble any component of the Platform
  • Interfere with or disrupt the integrity or performance of the Platform
  • Harvest or collect personally identifiable information or PHI of other users
8. Fees, Billing, and Payment

Certain features of the Platform are subject to fees. By subscribing to a paid plan or service, you authorize the Company to charge the applicable fees to your designated payment method. All fees are non-refundable except as expressly stated in a separate Service Agreement or as required by law.

The Company reserves the right to modify pricing with reasonable prior notice. Continued use of paid features following notice of a pricing change constitutes acceptance of the new fees.

9. Intellectual Property

All content, features, and functionality of the Platform, including but not limited to software, algorithms, text, graphics, logos, and data compilations, are the exclusive property of PRX Tech LLC or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right or license to use any trademark, logo, or other proprietary information of the Company.

10. Third-Party Services and Integrations

The Platform may integrate with or link to third-party services, including pharmacy management systems, laboratory services, payment processors, and telecommunications providers. The Company is not responsible for the privacy practices, content, or conduct of any third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

11. Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. PRX TECH LLC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRX TECH LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE PLATFORM OR ANY UNAUTHORIZED ACCESS TO YOUR INFORMATION.
13. Indemnification

You agree to defend, indemnify, and hold harmless PRX Tech LLC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Platform, your violation of any applicable law or regulation, or your infringement of any intellectual property or other rights of any person or entity.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or your use of the Platform shall be resolved by binding arbitration in Sheridan County, Wyoming, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

15. Modifications to Terms

The Company reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the Effective Date at the top of this document and, where appropriate, by sending notice via email or in-platform notification. Your continued use of the Platform following the effective date of any changes constitutes your acceptance of the revised Terms.

16. Termination

The Company reserves the right to suspend or terminate your access to the Platform at any time, with or without cause or notice, including if we believe you have violated these Terms, applicable law, or the rights of any third party. Upon termination, your right to use the Platform ceases immediately.
